FINANCIAL EFFECTS
Pursuant to Rules 1010(5), (6), (7), (
and (9) of the SGX-ST Listing Manual are set out as follows:-
(i) Rule 1010(5) The book value of the Option Shares is S$15.694 million. The
net tangible asset value of the Option Shares as at 31 December 2006 was
S$22.111 million. The latest available open market value of the Option Shares at
the close of trading on 7 June 2007 was S$23.478 million.
(ii) Rule 1010(6) The proceeds of S$19.334 million exceeds the book value of the
Option Shares by S$3.64 million and the proceeds will be used to reduce bank
borrowings.
(iii) Rule 1010(7) The net profit attributable to the Option Shares based on
Radiance?s unaudited consolidated financial statements for the half year ended
31 December 2006 was S$1.614 million. The loss on disposal of the Option
Shares is S$2.777 million, representing the deficit of the proceeds of S$19.334
million over the net tangible assets of the Option shares as at 31 December 2006
of S$22.111 million.
(iv) Rule 1010(
and (9) For illustrative purposes only, based on the last announced audited consolidated financial statements of the Company and its
subsidiaries for the year ended 30 June 2006:
(a) assuming the Disposal had been effected at the end of the Goldtron
Group?s financial year ended 30 June 2006, the net tangible assets per
share of the Goldtron Group as at 30 June 2006 would have decreased
by 14.8%;
(b) assuming the Disposal had been effected at the beginning of the
Goldtron Group?s financial year ended 30 June 2006, the earnings per
share of the Goldtron Group for the financial year ended 30 June 2006
would have decreased by 111.4%.
the most important is that goldtron have alot of cash if this deal succesful
