Directors (the " Board" ) of Oceanus Grp (the " Co" and together with its subsidiaries, the " Grp" ) wishes to announce that it has been informed by its substantial shareholders, Ng Cher Yew (" NCY" ) and Bestglobal Enterprises Corp. (" Bestglobal" ) as follows:- YDH" ), NCY and Bestglobal dated 21 June 2012 (" Settlement Documents" ), NCY and/or Bestglobal agree to transfer (and/or procure the transfer) of a total of 446,317,492 ordinary shares in the capital of the Coy (" Oceanus Shares" ) to YDH, and at his direction for transfer to Yu Yang (who is the daughter of YDH) and such other parties as directed by YDH according to the provisions of the Settlement Documents. For the avoidance of doubt, the aforesaid 446,317,492 Oceanus Shares are not intended by the parties to be performance shares, but are in fact for the purposes of achieving a global settlement of all matters amongst them. (c) As part of the global settlement, YDH will procure the owner of the land at Zhangpu County, Gulei Town, Gulei Village (collectively " Total no of 446,317,492 Oceanus Shares to be transferred as aforesaid represents 22.13% of the total issued share capital of the Co at the date of this announcement. The execution of the Settlement Documents as well as the subsequent transfer of the 446,317,492 Oceanus Shares held by NCY indirectly through Bestglobal will not result in any change to the composition of the Board or the management of the Co and thus will not affect the future |
